Terms of Service — Elitra Driver Platform

1. Purpose
These terms govern access to and use of the Elitra Driver platform, provided on a subscription basis by Lopes e Gago, Lda. to passenger transport operators. They apply to the website, the backoffice and the drivers' mobile app.
Elitra provides management software. It does not provide transport services, is not a party to the contracts between the customer and its passengers, and does not intermediate those relationships.
2. Subscription and pricing
The service is provided under a periodic subscription, according to the agreed plan. No setup fee is charged. Applicable prices are those published on the website or set out in the commercial proposal accepted by the customer.
3. Customer obligations
- Keep access credentials confidential and ensure proper use by its users;
- Ensure it has a legal basis to process the data it enters into the platform, including its drivers' and passengers' data;
- Inform its drivers about the location collection performed by the mobile app;
- Not use the platform for unlawful purposes nor attempt to circumvent technical or security limits.
4. Data ownership
Operational data entered by the customer remains the customer's property. Elitra processes it as a processor, as described in the privacy policy. The customer may request an export of its data at any time.
5. Availability and support
Elitra uses its best efforts to keep the service continuously available, and may carry out scheduled maintenance interruptions, announced in advance where possible. Unavailability may occur for reasons beyond Elitra's control, including failures of hosting providers or integrated services.
6. Limitation of liability
Elitra's liability is limited to direct damages and to the amount of the subscription fees paid by the customer in the 12 months preceding the triggering event. Elitra is not liable for loss of profits nor for operational decisions taken by the customer on the basis of platform information. Nothing in these terms excludes liability that the law does not permit to be excluded.
7. Term and termination
The subscription runs for the contracted period and renews automatically unless terminated. Either party may terminate under the agreed terms. In the event of serious breach, in particular non-payment, Elitra may suspend access after notifying the customer.
8. Governing law
Portuguese law applies. The courts of the district of Faro have jurisdiction over any disputes, waiving any other.
9. Changes
Elitra may amend these terms, notifying the customer of material changes with reasonable notice. Continued use of the service after they take effect constitutes acceptance.
